Terms of Service

Effective date: August 21, 2026 · Last updated: October 18, 2026

These Terms of Service (“Terms”) govern your access to and use of the Regent Fitness mobile application (also branded as “Regent”), our websites, and related services (the “Services”). The Services are provided by KoyoteByte, LLC. (“KoyoteByte, LLC.,” “we,” “us,” or “our”), an Arizona company. Regent is a product of KoyoteByte, LLC. Regent is offered only in the United States and Canada.

By creating an account, tapping to accept these Terms, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Section 17 includes arbitration and a class-action waiver that affect how disputes are resolved. You may opt out as described there. Section 17 does not apply if you live in Canada.

1. Who may use the Services

You must be at least 18 years old and old enough to form a binding contract where you live (the age of majority is 19 in some Canadian provinces and territories). Plan math uses adult dietary reference values. If we learn that a person under 18 has an account, we will delete it.

You represent that you have capacity to agree to these Terms, that your use is allowed where you live, and that information you provide is accurate to the best of your knowledge.

We offer the Services from the United States to people who live in the United States or Canada, and the app is available only in those countries’ app stores. We may refuse or limit access where offering the Services would be unlawful, including where U.S. export or sanctions rules apply.

2. Accounts

An account is required after onboarding. You may register with email and password, Sign in with Apple, or Sign in with Google. Create only one account for your personal use. Do not share credentials. You are responsible for activity under the account. Email regent@koyotebyte.com if you suspect misuse.

Delete your account in Settings to remove the cloud backup and local data on that device. Signing out without deleting leaves data on the device and, if backup ran, on our servers. Account deletion is generally irreversible: after deletion, we ordinarily cannot restore the account or its cloud backup. Deleting the account does not cancel a store subscription, and it does not remove product facts you already contributed through Improve scans, because those facts are not stored as part of your account.

We may refuse, suspend, or reclaim usernames or accounts that violate these Terms or the law.

3. Not medical advice

KoyoteByte, LLC. is not a medical organization. Regent is a nutrition logging and education tool. Nothing in the Services — including calorie targets, micronutrient comparisons, supplement information, insights, recaps, quality scores, partner data, ads, or AI estimates — is medical advice, diagnosis, or treatment, and it does not tell you to take, skip, or change food, supplements, or medication.

Consult a qualified clinician before changing how you eat or what you take, especially if you are pregnant, have a medical condition, or use prescription medicine. You are responsible for your health decisions. If you have an emergency, contact emergency services. Maintain a healthy weight under clinical guidance; we do not promise a particular BMI or outcome.

Using Regent or communicating with us does not create a doctor-patient, dietitian-patient, pharmacist-patient, or other clinical relationship. Never disregard professional advice or delay seeking medical attention because of something shown by the Services.

Regent is a general wellness log. It is not a medical device, and it is not intended to diagnose, treat, cure, or prevent any disease, including an eating disorder. Calorie tracking can be harmful if you have, or have had, disordered eating. If that applies to you, talk with a qualified clinician before using a food log. We do not guarantee weight loss or any other health result.

An ordinary daily calorie target the app calculates or saves will not be set below 1,200 calories, or 1,500 calories if your profile is set to male. A day you mark as fasting can be lower, down to a 500-calorie product floor. Those floors are product limits. They are not advice that either number is safe or appropriate for you.

Allergens, food safety, and interactions. Regent cannot verify every ingredient, allergen, contamination risk, supplement interaction, or contraindication with medication or a medical condition. Product packaging may change, and food, recipe, barcode, community, public-database, and AI records may be incomplete. Vegan, Vegetarian, Gluten free, and Dairy free notes, when shown, describe only the listed ingredients. They are not a certification or an allergen guarantee. Check the current label and, when relevant, ask a qualified clinician or pharmacist before handling, preparing, taking, or consuming a product. Do not use Regent as an allergy, food-safety, or drug-interaction checker.

4. License, our content, and your content

We grant you a personal, limited, revocable, non-exclusive, non-transferable license to install and use the app for your own non-commercial use, in line with these Terms.

We and our licensors own the app, brand, software, and compiled reference data. USDA FoodData Central, Open Food Facts, NIH DSLD, and similar sources remain under their own licenses. You may not copy, scrape, or resell the Services or our catalog as a competing product.

You retain ownership of diary entries, notes, recipes, photos, and other content you submit (“Your Content”). You grant us a worldwide, non-exclusive license to host, store, back up, process, and display Your Content as needed to operate the Services for you (including restore on a device you sign in on). We do not claim ownership of Your Content.

Product facts you contribute for scan quality (barcode and label numbers, not your name) may be kept so other users’ scans resolve. That license is perpetual for those facts because they are not tied to your account.

If you send feedback or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

5. Community, friends, and user content

As of the effective date, Regent does not offer a public social feed. If we add friends, messaging, comments, forums, or public profiles:

Do not post medical claims presented as professional advice, or another person’s health data.

6. Acceptable use

You agree not to:

We may suspend or delete accounts that violate these Terms.

7. AI features

Parts of the Services are built with artificial intelligence and machine-learning technology, including third-party large language models — for example, estimating a meal from a photo, description, or voice memo, naming the food in view while Live is on in the meal camera, reading a label or receipt, and answering questions in Ask my Regent. This technology and its output may contain errors or misleading information, may not be accurate or reliable, and can reflect biases in the data used to train it. We do not guarantee the accuracy, completeness, or usefulness of any AI output. Review it before you save it; you are responsible for what you log and how you use it.

Ask my Regent is automated software, not a physician, dietitian, or other licensed clinician, and it saves a change to your log, targets, stack, or plan only after you confirm it. The welcome screen can estimate one typed meal before an account exists. Use these features for food, labels, and questions about your own log. Do not submit identity documents or another person’s information.

Fair use and limits. AI features have fair-use limits. When you reach one, that feature pauses and the app shows when it will be ready again; barcode scans, search, saved foods, and manual logging keep working. Do not use scripts, shared accounts, or other ways around a limit.

What needs a subscription. After onboarding and account creation, the Regent diary and its features require the Regent subscription (the App Store lists it as “Regent Plus”), through a free trial, a paid subscription, or complimentary access we grant. Without active access the diary stays closed, but your log is kept, and Settings, Restore, cloud backup, data export, Health connections, and account deletion stay available.

Plans and price. Regent is sold as a monthly or annual subscription that renews automatically. The price, currency (for example U.S. or Canadian dollars), billing period, and any trial are shown in the app and confirmed by the store before you buy. Sales tax, GST/HST, QST, or other taxes are added or collected by the store where they apply.

Free trial. Eligible new subscribers get a 7-day free trial on either plan. The store decides eligibility, and generally one trial is available per person and store account. The store may require a payment method up front. The trial converts to the plan you chose when it ends unless you cancel at least 24 hours before the end of the trial. If notifications are allowed, Regent reminds you before the trial ends.

Billing and renewal. Payment is charged to your Apple ID account when you confirm the purchase or, with a trial, when the trial ends. The subscription renews automatically for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period, and the renewal is charged within the 24 hours before that period ends. Unpaid fees may end your access.

Cancel anytime. Cancel in your Apple ID subscription settings (or the Google Play account you used to subscribe), not only inside Regent. Cancellation takes effect at the end of the current trial or paid period, and your access stays available until then. Deleting the app or your Regent account does not cancel that subscription, and canceling the subscription does not delete your log.

Refunds. Purchases are made with the store, billed by the store, and refunded under the store’s rules. Except where the law requires otherwise, we do not give refunds or credits for partial periods.

Price changes. We may change the price of the subscription. The store notifies you in advance and, where its rules or the law require, asks for your consent before a higher price applies to you. If you do not want to pay the new price, cancel before it takes effect.

Complimentary access. Access we grant at no charge, such as early-tester access, lasts for the period we tell you, does not renew automatically, and does not create a store subscription.

Changes to the subscription. We may add, change, or remove features. If a change materially reduces what a current paid subscription includes, we will tell you in advance so you can cancel. Nothing in this section limits rights you have under consumer protection laws where you live.

9. Advertising and promotions

We do not currently show third-party ads in the app. If we do, ads are not medical advice. We will not use Apple Health or Health Connect data to target ads. Promotions, coupons, or referral programs (if we offer them) have their own rules, which control if they conflict with these Terms.

10. Research, betas, and feedback

We may offer beta features that are experimental and may change or disappear. We may invite you to surveys or research. Participation is optional and may be covered by an extra notice. You grant us the feedback license in Section 4.

11. Third-party services and partners

Sign-in providers, cloud hosts, public food databases, AI processors, analytics, stores, payment processors, Health platforms, and any grocery or wearable partners are outside our control. Their terms apply to their services. We are not liable for their outages or for errors in public nutrition catalogs.

Apple Health, if connected, remains under Apple’s terms. Health Connect, if connected, remains under Google’s and your device maker’s terms. We only read the data types described in the Privacy Policy. On iPhone, if you allow it, we write the nutrition you log to Apple Health as described there; we do not write to Health Connect.

If we add partner import/export, you authorize us to exchange the data needed for the connection you turn on.

Links in the Services may open other companies’ sites or apps. Their terms and privacy policies apply there. We are not responsible for those sites.

Some features require a compatible device, a supported operating-system and app version, internet access, or continued availability of a third-party service. We may provide updates, including automatic updates, and older versions may stop working correctly. Ordinary internet, carrier, or data charges from your provider may apply.

12. App stores

If you download Regent from the Apple App Store or Google Play, those platforms’ terms also apply. Apple and Google are not parties to these Terms.

Support. KoyoteByte, LLC., not Apple or Google, is responsible for providing maintenance and support for Regent. Email regent@koyotebyte.com.

For iOS: you and KoyoteByte, LLC. acknowledge that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms and that Apple may enforce them against you as a third-party beneficiary. The license in Section 4 is limited to use on Apple-branded products you own or control, as permitted by the App Store terms. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app, if any; to the maximum extent permitted by law, Apple has no other warranty obligation for the app. Any claims relating to the app (product liability, legal compliance, or consumer protection) are between you and us, not Apple, to the extent the law allows. Intellectual-property claims relating to the app are our responsibility, not Apple’s.

You must comply with applicable third-party terms when you use the app, such as your wireless data service agreement. Send questions, complaints, or claims about the app to KoyoteByte, LLC. at the contact details in Section 21.

13. Copyright (DMCA)

If you believe content on the Services infringes your copyright, send a notice to our designated agent at regent@koyotebyte.com or KoyoteByte, LLC., Attn: Copyright Agent, 4539 N. 22nd St., Ste. B, Phoenix, AZ 85016, with: your physical or electronic signature; a description of the work; the material’s location; your name, address, telephone number, and email; a statement of good-faith belief that the use is not authorized by the owner, its agent, or the law; and a statement under penalty of perjury that the information is accurate and that you are authorized to act. We may remove material and, in appropriate cases, terminate repeat infringers. Registering that agent with the U.S. Copyright Office is a separate step we will complete before relying on DMCA safe harbor.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that targets, database values, partner data, ads, or estimates are accurate or suitable for you, or that the Services will be uninterrupted, secure, or error-free.

Nutrition, ingredient, serving, supplement, and other records may come from public sources, manufacturers, community contributions, users, or automated systems. They may be incomplete, stale, incorrectly matched, or unreviewed by a qualified professional. We do not guarantee that a barcode identifies the current formulation or that any catalog record is accurate, complete, or useful for your circumstances. If you enter incomplete or incorrect information, the totals, targets, and estimates that depend on it will be incomplete or incorrect. You are responsible for what you log.

Some places do not allow certain disclaimers. There, our warranties are limited to the minimum the law requires.

If you live in Canada, including Quebec, nothing in these Terms excludes or limits a legal warranty or any other right you have under your province’s or territory’s consumer protection laws, including Quebec’s Consumer Protection Act.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOYOTEBYTE AND ITS PEOPLE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST DATA, LOST PROFITS, SUBSTITUTE SERVICES, OR HEALTH OUTCOMES, ARISING FROM THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) TEN U.S. DOLLARS (US $10). If the Services are free, that amount is typically ten dollars.

These limits do not apply to liability the law forbids us to limit (for example, in some places, liability for fraud or personal injury caused by negligence).

If you live in Quebec, this section does not apply to the extent Quebec’s Consumer Protection Act or Civil Code of Québec does not allow it, including for bodily or moral injury or for damage caused by an intentional or gross fault.

16. Indemnity

To the extent the law allows, you will defend and indemnify KoyoteByte, LLC. and its people against claims, damages, and reasonable legal fees arising from Your Content, your use of the Services, or your violation of these Terms or of someone else’s rights, except to the extent we caused the harm by our own willful misconduct.

17. Arbitration and class waiver

Please read this section carefully. Except for the exceptions below, you and KoyoteByte, LLC. agree to resolve disputes through binding individual arbitration, not in court, and not as a class action.

Before either of us starts arbitration, the complaining party will email regent@koyotebyte.com a short notice that describes the dispute and the outcome sought. We will try to resolve it informally for 60 days after that notice is received. Either of us may still use small-claims court during that period if the claim qualifies.

This section is governed by the Federal Arbitration Act. The American Arbitration Association (“AAA”) will administer arbitration under its Consumer Arbitration Rules. The seat is Arizona. Either of us may bring an individual action in small-claims court if it qualifies. Either of us may seek injunctive relief in court to protect intellectual property or unauthorized access to the Services.

You may opt out of arbitration by emailing regent@koyotebyte.com within 30 days of first accepting these Terms, with your name, the email on your account, and a clear statement that you opt out of arbitration. If you opt out, courts in Arizona will hear disputes as in Section 20.

Class waiver and jury waiver. You and we waive the right to participate in a class, collective, or representative action, and we waive a jury trial for a claim that proceeds in court, to the extent the law allows. If the class waiver is found unenforceable as to a particular claim, that claim must proceed in court, not arbitration.

Canada. If you live in Canada, this Section 17 does not apply to you. You and we may bring disputes in the courts described in Section 20, and nothing in these Terms waives a right you have to take part in a class action under the law of your province or territory.

18. Term and termination

These Terms apply until you or we end them. You may stop using the Services and delete your account at any time. We may suspend or end access if you breach these Terms, if we discontinue the product, or if the law requires it. Paid terms already paid are handled as in Section 8 and store rules. Sections that should survive (including 3–4, 13–17, 19–20) will survive.

19. Changes

We may change the Services and these Terms. We will update the date above and provide advance notice of material changes in the app or by email. Non-material changes may take effect when posted. You are responsible for keeping the email address on your account current. Continued use after the stated effective date is acceptance. If you do not agree, stop using the Services and delete your account.

20. Miscellaneous

Governing law and venue. These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law rules. The Federal Arbitration Act governs Section 17. If a dispute proceeds in court, you and we consent to exclusive jurisdiction and venue in the state and federal courts located in Arizona.

Canada. If you live in Canada, these Terms are governed by the laws of your province or territory of residence and the federal laws of Canada that apply there, and you may bring a claim in the courts of your province or territory. If you live in Quebec, Quebec law applies to these Terms.

Export. You will not use or export the Services in violation of U.S. export or sanctions laws. You represent that you are not located in a country subject to a U.S. government embargo and that you are not on a U.S. government list of prohibited or restricted parties.

Force majeure. We are not liable for delays caused by events beyond our reasonable control.

Assignment. We may assign these Terms in a merger or sale of the business. You may not assign them without our consent.

Entire agreement. These Terms and the Privacy Policy are the entire agreement about the Services. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. If we provide a translation, the English version controls to the extent the law allows.

California users. Under California Civil Code Section 1789.3, California users are entitled to this notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

Open source. Third-party and open-source components are licensed under their own licenses, which control as to those components.
